Welcome to TELIUS UAB (“Company,” “we,” “us,” “our”). These Terms and Conditions (“T&C”) govern the use of our cryptocurrency OTC (Over-the-Counter) exchange services, accessible via teliusuab.io (“Website”) and related platforms.
By accessing or using our services, you confirm that you have read, understood, and agreed to these T&C. If you do not agree, you must discontinue the use of our services.
These Terms comply with the Markets in Crypto-Assets Regulation (MiCA), Lithuanian AML laws, and EU financial regulations.

3. Definitions
• “User” – An individual or entity accessing our services.
• “OTC Trading” – Off-exchange trading of crypto assets.
• “Fiat Currency” – Traditional government-issued currencies (EUR, USD, etc.).
• “Cryptocurrency” – Digital assets such as Bitcoin (BTC), Ethereum (ETH), USDT, etc.
• “AML Compliance” – Adherence to anti-money laundering regulations.
• “KYC” – Know Your Customer process for identity verification.
• “Wallet” – A digital storage system for cryptocurrencies.
• “Transaction” – Any exchange of crypto/fiat facilitated by TELIUS UAB.
4. Eligibility & User Obligations
4.1 Who Can Use Our Services?
To use our services, you must:
✅ Be at least 18 years old.
✅ Have full legal capacity to enter into binding agreements.
✅ Not be a resident of a sanctioned country (as per EU/OFAC regulations).
✅ Not use our services for illegal, fraudulent, or illicit activities.
4.2 Prohibited Activities
🚫 Engaging in money laundering, fraud, or terrorism financing.
🚫 Using anonymous crypto wallets or mixing services (e.g., Tornado Cash).
🚫 Providing false identity or documents.
🚫 Conducting transactions on behalf of sanctioned individuals.
Violation of these rules may result in account termination and reporting to regulatory authorities.
5. Account Registration & Verification
5.1 KYC (Know Your Customer) Requirements
To comply with AML laws, users must undergo KYC verification by providing:
✅ Government-issued ID (passport, national ID, or driver’s license).
✅ Proof of address (utility bill, bank statement).
✅ Selfie verification to confirm identity.
✅ Source of funds declaration for large transactions.
TELIUS UAB reserves the right to request additional documents if necessary.
5.2 Business (Corporate) Accounts (KYB – Know Your Business)
Corporate clients must provide:
✅ Certificate of incorporation and business license.
✅ List of Ultimate Beneficial Owners (UBOs).
✅ Company bank statements.
✅ AML Compliance Policy (if applicable).
Failure to complete KYC/KYB verification will result in access denial.
6. Transaction Rules
6.1 Trading Conditions
• Transactions are processed on a request basis (OTC model).
• Exchange rates are determined at the time of trade confirmation.
• Minimum and maximum trading limits apply based on AML risk assessment.
6.2 Payment & Settlement
• Fiat transactions must be made from a bank account in the user’s name.
• Crypto transactions must be sent from a verified wallet address.
• TELIUS UAB is not responsible for delays caused by banking partners or blockchain congestion.
6.3 Transaction Cancellations & Refunds
• Crypto transactions are irreversible.
• Refunds are only possible for unprocessed fiat transactions.
• Chargebacks, fraud attempts, or disputes will be reported to authorities.
7. Fees & Charges
• OTC trading fees depend on transaction volume and market conditions.
• Additional charges may apply for fast-track transactions.
• Users will receive a transparent fee breakdown before trade execution.
8. Risk Disclosure
• Cryptocurrency markets are highly volatile.
• TELIUS UAB does not provide investment advice.
• Users should conduct their own due diligence before trading.
We are not liable for losses resulting from market fluctuations.
9. Data Protection & Privacy
• We collect and store user data in compliance with GDPR and Lithuanian privacy laws.
• Data is used strictly for AML compliance and transaction processing.
• Users have the right to request access, correction, or deletion of their data.

10. Regulatory Compliance & Reporting
TELIUS UAB complies with:

✅ Lithuanian AML/CFT laws.
✅ EU Sanctions & FATF guidelines.
✅ Obligations to report suspicious transactions to the Financial Crime Investigation Service (FCIS) of Lithuania.
Any attempt to circumvent compliance checks may result in account termination.
11. Limitation of Liability
• We are not responsible for losses due to price fluctuations, hacks, or delays.
• Users accept all trading risks when engaging in crypto transactions.
• Force majeure events (e.g., regulatory actions, cyberattacks) may disrupt services.
12. Termination & Account Suspension
TELIUS UAB reserves the right to:
✅ Suspend or terminate accounts involved in fraud or suspicious activities.
✅ Block transactions that violate AML/CTF regulations.
✅ Report non-compliant users to regulatory authorities.
Users may request account closure by contacting support.
13. Dispute Resolution
• Any disputes shall be resolved through negotiation.
• If unresolved, disputes will be settled under Lithuanian law in Vilnius courts.
14. Changes to These Terms
TELIUS UAB reserves the right to update these T&C.
Users will be notified of significant changes via email or website announcement.
Continued use of our services after an update constitutes acceptance of the new Terms.
